WHOLESALE TERMS AND CONDITIONS
Wholesale Terms & Conditions
All approved Glimmers™ retailers agree to the following terms and conditions during the application process. If you have any questions about this agreement, please email our team at glimmerslips@gmail.com.
ORDERING
NEW ACCOUNTS: New wholesale accounts are required to submit an application prior to approval. Retailers must disclose valid business names, contact information, and domain addresses for any and all websites on which Glimmers products are sold. We require a valid reseller permit number for US accounts in order to mark a wholesale account as tax exempt. Glimmers™ reserves the right to refuse service at any time, for any reason.
- MINIMUM ORDER: A minimum order of $180.00 USD is required on new account orders and re-orders (quantity of 20).
- FLAVOR SELECTION: Glimmers™ retailers have access to carry no more than THREE lip balm flavors at one time.
AMAZON & THIRD-PARTY SITES
WE DO NOT AUTHORIZE RE-SELLING THROUGH ANY ONLINE MARKETPLACES (EX: AMAZON, ETSY, EBAY, WALMART, TARGET, ETC.). FAILURE TO ABIDE BY THIS PROHIBITION WILL RESULT IN SUSPENSION TO YOUR ACCOUNT.
- Sales on Amazon.com, Ebay.com, and/or similar third-party sites are strictly prohibited. Retailers selling on sites without prior approval will have their wholesale account terminated. It is Glimmer's sole discretion whether or not to provide prior notice or issue warnings before discontinuing the wholesale relationship.
- If a retailer operates under, sells as, or Does Business As any name other than the one which the account was registered and/or shipped to, this name must be on file with Glimmers. Glimmers reserves the right to suspend the wholesale relationship should they find a retailer is selling their distributed products under a secondary, unregistered name.
- If a retailer is planning to sell Glimmers products in an online store, it must be owned by the entity applying for the wholesale account.
- Glimmers does not allow any account or retailer to distribute our products to other businesses without prior consent.

In the event that a retailer sells Glimmers™ products on a third-party website, the retailer acknowledges and agrees that such unauthorized sales will cause significant harm to
Glimmers™, including but not limited to brand dilution, loss of goodwill, and decreased market value. Given the extreme difficulty or impossibility of quantifying such harm, the parties agree that for each breach (i.e., for each product listing on a third-party website and for each different third-party website where the product is listed), the retailer shall pay liquidated damages to Glimmers™ in the amount of $1,000. This amount represents a reasonable and mutually agreed-upon estimate of the damages Glimmers would incur due to such unauthorized sales and is not intended as a penalty. - If
Glimmers™ is required to take legal action against a retailer for breaching these terms and conditions, the retailer will be responsible for all attorney’s fees and legal costs incurred by Glimmers™. - All disputes arising out of or in connection with these terms and conditions or the retailer's relationship with
Glimmers™ shall be governed by the laws of the State of Idaho, without regard to its conflict of laws principles. The retailer hereby consents and agrees to the exclusive jurisdiction of the state and federal courts located in Colorado for all lawsuits, claims, or disputes between the retailer and Glimmers™. -
Glimmers™ reserves the right not to sell to any reseller found to be in violation of this policy and/or the wholesale terms and conditions. However, Glimmers™ will not be held responsible for enforcement of this policy or lack thereof. Glimmers™ will act accordingly when deemed necessary and to the fullest extent of the law.
PRICING/PAYMENT

WHOLESALE PRICING: All prices are listed in US dollars. Authorized retailers will receive at least 50% off of the MSRP which varies by product. Prices are subject to change without notice.

MANUFACTURER SUGGESTED RETAIL PRICE (MSRP): We strongly suggest that all
Glimmers™ products be sold at the manufacturer’s suggested retail price (MSRP). In the event that the retailer decides to place the products on sale, the discount must not be more than 20% below MSRP. Retailers must abide by MSRP or their wholesale account will be terminated.

TESTERS: Testers are not to be re-sold for any reason.

PROMOS: No additional discounts can be applied during a promotion. Promotions can be applied to new orders only. Price adjustments for previous wholesale orders cannot be accommodated and we are unable to apply promos to currently pending orders.

PAYMENT: All orders placed through our wholesale website must be accompanied by immediate payment.
Glimmers™ does not accept return to vendor refunds.
SHIPPING/RETURNS

LEAD TIMES
Due to the nature of our small business, our lead times will fluctuate from week to week. Please email our team if you require an order by a specific date and we will do our best to accommodate. For orders placed during the holiday season (October-December), we highly recommend placing orders at least 2-3 weeks in advance to ensure timely delivery in the likely event of an increased lead time.

HANDLING FEES/IMPORT DUTIES
The receiver is responsible for all merchandise shipping and handling costs and expenses, which may include customs clearance, import fees, and local taxes.Glimmers™ is not responsible for any lost or stolen packages once delivered. Any customs/tariffs levied by the import country is the retailer's responsibility and is not included in the shipping cost.

CHANGES TO ORDER
If you need to update your information, edit or cancel your order, please reach toglimmerslips@gmail.com out as soon as possible after placing your order. Any changes or cancellations to orders cannot be made once the order has shipped.

RETURNS & EXCHANGES
Glimmers™ does not accept returns or exchanges on products purchased at wholesale cost. We only accept returns in the case of defective merchandise. If you have any issues with a product that is not selling, please contact our team.

INCORRECT/INCOMPLETE ORDER
If you have received the wrong products or are missing products, please send an email toglimmerslips@gmail.com with your order number and brief description of your issue.

DAMAGES/DEFECTS/ERRORS
Please inspect all shipments immediately upon delivery. In the case of damaged/defective merchandise or shipping errors, you must contactGlimmers™ within 5 business days of receiving the merchandise.
If you have received damaged products, please send an email toglimmerslips@gmail.com with your order number and a picture of the damaged products. Glimmers requests proof of damaged merchandise to honor replacements or a credit and a batch number may be required.

BACKORDERS
In the event that a product is oversold or out of stock,Glimmers™ may backorder this item and ship at a later date or issue a refund. We reserve the right to cancel or backorder items at any time.

DISCLAIMER OF WARRANTY: EXCEPT FOR THE WARRANTIES EXPRESSLY SET FORTH IN THIS AGREEMENT, EACH PARTY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS AND IMPLIED WITH RESPECT TO THE DISTRIBUTION PRODUCTS, INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR A PARTICULAR PURPOSE.
We reserve the right to make any modifications to these terms at any time. By placing an order, you are agreeing to these terms and acknowledge that continued access to our services mean that you agree to any changes. These terms were last updated October 1st, 2024.
